Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Hey Motek's WhatsApp attribution and advertising conversion tracking services, including the websites heymotek.com, app.heymotek.com, api.heymotek.com, and related products (collectively, the "Service") provided by Hey Motek ("we," "us," or "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of Service

Hey Motek is a Software-as-a-Service (SaaS) platform that:

  • Tracks website visitor activity via a JavaScript snippet installed on your website
  • Provides a dedicated WhatsApp tracking number (or integrates with your existing WhatsApp Business API, depending on plan)
  • Attributes incoming WhatsApp messages to advertising sources
  • Fires offline conversion data to Google Ads, Meta (Facebook), and Google Analytics on your behalf
  • Provides a dashboard with lead lists, campaign attribution, and conversion reporting

The Service is intended for business use only. It is not intended for personal, family, or household use.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must be at least 18 years old and authorized to enter into binding contracts in your jurisdiction.

You agree to notify us immediately of any unauthorized access to or use of your account.

4. Subscription Plans & Billing

4.1 Plans

We offer subscription plans with different features and usage allowances. Current pricing and plan details are available at heymotek.com/pricing.

4.2 Billing

  • Subscriptions are billed monthly or annually, depending on the plan you choose
  • Payment is due at the beginning of each billing cycle
  • All fees are in US Dollars (USD) and are non-refundable except as described in Section 4.5
  • We reserve the right to change pricing with 30 days' notice

4.3 Message Fair Use

Plans include a fair-use allowance of messages per month (inbound customer messages + outbound replies and notifications combined). Excessive usage beyond the fair-use limit may result in a request to upgrade your plan or a temporary throttling of service. Hard cutoffs will not be applied without prior notice.

4.4 Conversion Uploads

Offline conversion uploads to Google Ads, Meta, and Google Analytics are subject to the limits, quotas, and acceptance rules of those platforms. We make reasonable efforts to deliver conversions within the attribution window but do not guarantee that every conversion will be accepted, matched, or attributed by the destination platform.

4.5 30-Day Money-Back Guarantee

New customers may request a full refund of their base subscription fee within 30 days of their initial subscription purchase. To request a refund, email us at support@heymotek.com. This guarantee applies to first-time subscriptions only — it does not apply to renewals, plan upgrades, or downgrades. See our Refund Policy for full details.

4.6 Cancellation

You may cancel your subscription at any time. For monthly subscriptions, cancellation takes effect at the end of your current billing cycle. For yearly subscriptions, you will retain access to the Service until the end of your paid annual term. No prorated refunds are provided for unused time within a billing period.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or advertising platform policy (including Google Ads policies, Meta advertising policies, and WhatsApp Business Policy)
  • Send unsolicited messages, spam, or unwanted commercial communications
  • Harass, threaten, or abuse any person
  • Track or collect data from websites or users for which you do not have authorization
  • Impersonate another person, business, or brand without authorization
  • Upload falsified conversion data or otherwise manipulate advertising platforms
  • Transmit malicious code or attempt to compromise the Service
  • Use the Service to collect sensitive personal data (health, financial, legal, biometric, political, religious) without appropriate consent and safeguards
  • Exceed fair-usage limits in a way that degrades service for other customers
  • Resell, sublicense, or offer the Service to third parties as your own product
  • Reverse engineer, decompile, or attempt to extract the source code, methodology, or technology of the Service
  • Use the Service to build a competing product or service

We reserve the right to suspend or terminate your account for violations of this policy without refund.

6. Attribution Accuracy Disclaimer

Attribution is best-effort and not guaranteed. By using the Service, you acknowledge and agree that:

  • Attribution between advertising clicks and WhatsApp messages is performed automatically based on available signals and is not guaranteed to be complete, accurate, or error-free
  • Not every WhatsApp message will be attributed to an advertising source (e.g., messages from Visitors who arrived without a tracked click, or when tracking signals are unavailable)
  • Browser privacy features (including Safari ITP, ad blockers, cookie restrictions), Visitor browser settings, and changes by advertising or messaging platforms may limit our ability to attribute clicks
  • Offline conversions uploaded to Google Ads and Meta are subject to each platform's match rate, attribution window, acceptance rules, and policies — we do not control these
  • Campaign, ad, or keyword attribution depends on properly configured tracking parameters on your ad links
  • Data delivered by the Service is provided for informational and operational purposes and should not be treated as audited or certified financial, marketing, or legal reporting

You use the Service at your own risk. We make no representation or warranty regarding match rates, attribution accuracy, conversion acceptance rates, or resulting advertising performance.

7. Ad Platform Connections

To fire offline conversions, you will connect your Google Ads and/or Meta (Facebook) advertising accounts to the Service via OAuth. By connecting these accounts, you authorize us to:

  • Access your advertising accounts for the purpose of uploading conversion data on your behalf
  • Create or use conversion actions, events, or datasets within your advertising accounts as needed to deliver the Service
  • Upload hashed identifiers (e.g., hashed phone numbers) along with click identifiers and timestamps to your advertising platforms

You are responsible for maintaining these connections and for any changes, suspensions, or policy actions taken by the ad platforms against your accounts. You may revoke these connections at any time through the Service or directly in your Google Ads or Meta account settings, which will stop further conversion uploads from being sent on your behalf.

8. Your Responsibilities

As a Customer, you are responsible for:

  • Installing the tracking snippet on your own website (or websites you are authorized to modify)
  • Configuring your ad links with appropriate tracking parameters (UTMs, auto-tagging, etc.)
  • Disclosing our tracking technology (cookies, visitor data collection) in your own privacy policy
  • Complying with all applicable laws regarding data collection, advertising tracking, cookie consent, and marketing (including GDPR, ePrivacy, CCPA, Israel Amendment 13, and similar laws in your Visitors' jurisdictions)
  • Obtaining any required consent from your Visitors before our snippet collects their data, where required by law
  • Complying with WhatsApp Business Policy, Google Ads policies, and Meta advertising policies
  • Ensuring that conversion data you upload or mark (e.g., marking leads as "Won") accurately reflects real outcomes

9. Data Tracking & Visitor Consent

The Service collects data about Visitors to your website via a first-party tracking cookie and tracking snippet. Many jurisdictions (including the EU under GDPR/ePrivacy and California under CCPA) require that websites obtain consent or provide opt-out mechanisms before loading tracking technologies. You are solely responsible for:

  • Determining the consent and disclosure requirements in the jurisdictions where your Visitors are located
  • Implementing an appropriate consent mechanism (cookie banner, consent management platform) on your website where required
  • Configuring our snippet to respect your consent signals (e.g., not loading until consent is given, or deactivating on opt-out)
  • Disclosing our tracking snippet, cookies, and data collection in your own privacy policy
  • Complying with all applicable wiretapping, data protection, and electronic privacy laws

Hey Motek is not liable for any claims arising from your failure to obtain required consent or provide required disclosures to your Visitors.

10. Intellectual Property

The Service, including its software, snippet, design, content, technology, and underlying methodologies, is owned by Hey Motek and protected by intellectual property and trade secret laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business purposes, including installing the tracking snippet on your own website(s).

You retain ownership of your data, including Visitor attribution data, WhatsApp messages, and lead records collected through the Service. You grant us a limited license to process this data solely to provide the Service and to improve its functionality in aggregate, anonymized form.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied
  • We do not warrant that the Service will be uninterrupted, error-free, or secure
  • We do not warrant any specific match rate, attribution accuracy, conversion acceptance rate, or advertising performance outcome
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of business, revenue, customers, data, advertising budget, or reputation
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to Hey Motek in the 12 months preceding the claim

12. Indemnification

You agree to indemnify and hold Hey Motek, its officers, employees, and agents harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law, advertising platform policy, or WhatsApp policy
  • Your failure to obtain required consent from Visitors or Correspondents
  • The accuracy of conversion data you upload or mark in the Service
  • Content of WhatsApp messages sent through or received via your tracking number

13. Service Availability & Force Majeure

We strive to maintain high availability but do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

We are not liable for any losses resulting from service interruptions, including those caused by events beyond our reasonable control (force majeure), such as natural disasters, power outages, internet infrastructure failures, third-party service provider outages (including but not limited to Meta, Google, Twilio, and cloud hosting providers), government actions, advertising platform policy changes, or other circumstances beyond our control.

14. Termination

We may suspend or terminate your account if:

  • You violate these Terms or the Acceptable Use policy
  • Your payment method fails and is not resolved within 14 days after notification
  • An ad platform suspends your account or takes policy action that affects our ability to deliver the Service
  • We are required to do so by law
  • We discontinue the Service (with 30 days' notice)

Upon termination, your right to use the Service ceases immediately. WhatsApp tracking numbers provisioned by us as part of the Service are owned by Hey Motek (or our telecommunications provider) and will be released upon account termination — they cannot be ported or transferred. WhatsApp numbers that you bring to the Service (BYO WhatsApp plans) remain yours and are unaffected by termination of your Hey Motek subscription. Any pending conversion uploads will cease. We will retain your data for 12 months after termination, during which you may request an export. After this period, your data will be deleted.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on our website at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Israel. Any disputes arising from these Terms or the Service shall be resolved in the competent courts of Tel Aviv-Jaffa, Israel.

17. General

  • Entire Agreement — These Terms, together with the Privacy Policy, Refund Policy, and any applicable Data Processing Agreement (DPA), constitute the entire agreement between you and Hey Motek regarding the Service
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions remain in effect
  • Waiver — Failure to enforce any provision does not constitute a waiver of that provision
  • Assignment — You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
